File Annual Registration

After incorporation, a Georgia corporation will file an initial �annual� registration within 90 days.  This filing will place on record the three principal officers of the corporation, the �Chief Executive Officer, � �Chief Financial Officer,� and �Secretary,� or persons holding similar positions.  The same individual may hold more than one position.

After the initial filing, Georgia corporations will file annually between January 1 and April 1.  LLCs, foreign corporations and LPs file annually, with the initial registration due between January 1 and April 1 of the year after formation in Georgia.  The fee is $30.00.

Address, officer and/or agent information may be updated throughout the year by filing a registration, and paying the $30.00 fee.

Corporation Division Filing Fees


Georgia corporations, limited liability companies and limited partnerships are formed by filing with the Corporations Division.  Some foreign (out of state) entities that do business in the state of Georgia are required to file with the Corporations Division.  The Division serves as custodian of the filings and provides copies and/or certifications of the documents.  As an administrative filing agency, the Division does not have authority to intervene in disputes between consumers and businesses, disputes between businesses, or disputes between shareholders, members, officers or other persons involved in an enterprise.

Trademarks and service marks used in Georgia may be registered with the Corporations Division.

The Division accepts service of process filings on certain businesses and individuals.  When authorized, service may be directed to the Corporations Division, 315 West Tower, #2 Martin Luther King, Jr. Drive, Atlanta, GA  30334. 

Uniform Commercial Code and trade name filings are not made with the Georgia Secretary of State. 

Information provided on this site should aid in the process of forming a business entity.  While simple to form, the question of whether or not a particular entity should be formed is complex.  The Corporations Division recommends that the decision to establish a legal entity be made in consultation with an attorney and an accountant.
